Haruki Terms of Service

Welcome to Haruki, an AI-driven resilience and recovery platform designed to provide mental health resiliency training for first responders, homeland security, military personnel, and other high-stress occupations. By using Haruki, you agree to the following Terms of Service (“Terms”).

1. Acceptance of Terms

By accessing or using the Haruki platform (“Platform”), you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2.  Subscription License & Scope of Use

Haruki offers emotional and relational intelligence training through an AI-driven, real-time platform, featuring training modules, real-world incident simulations, and user-specific adaptive features to support mental health resiliency.

  • License: Subject to your compliance with these Terms and payment of all applicable fees, Haruki grants you a non-exclusive, non-transferable, revocable license to access and use the Platform under a subscription basis.
  • Authorized Use: The Platform may be used solely for its intended purpose of resiliency training.
  • Prohibited Use: You may not:
    1. Use the Platform for any unlawful purpose.
    2. Sell, resell, or commercially exploit the Platform.
    3. Reverse engineer, decompile, or attempt to extract or replicate source code.
    4. Share your account with unauthorized individuals.

3. Eligibility

You confirm that you are:

  • At least 18 years old (or the age of majority in your jurisdiction).
  • Authorized by your organization to participate in Haruki training.

4. User Accounts

You must create an account to access the Platform. You agree to:

  • Provide accurate and current information.
  • Safeguard your credentials.
  • Accept responsibility for all activities under your account.

5. Confidentiality & Data Privacy

  • Confidentiality: All training content, materials, and user data within Haruki are confidential and intended only for authorized individuals. Unauthorized access, disclosure, or distribution is prohibited and may result in suspension, termination, or legal action.
  • Privacy: Personal and sensitive data collected through the Platform is handled in accordance with our [Privacy Policy]. By using Haruki, you consent to such processing.
  • Data Ownership & Usage: Users and organizations retain ownership of their personal and training data. By using Haruki, you grant Haruki a limited license to process, store, and analyze data for the purpose of delivering services, improving features, and generating anonymized, aggregated insights. Haruki does not sell personal data to third parties.

6. Security

Haruki employs encryption and access controls to protect data. However, no system is completely secure. Users are responsible for protecting their devices and login information.

7. Free Trial & Subscription & Payment Terms

  • Free Trial Access: Haruki may provide limited access to certain training modules and features on a free trial basis. Trial access is time-limited and provided for evaluation only.
  • Trial Expiration: At the end of the trial period, access will automatically expire unless a paid subscription is purchased. No fees are charged unless you convert to a paid plan.
  • Scope of Trial: The trial may not include all modules, features, or content available under a paid subscription. Additional content is available only after procurement of a paid license.
  • Subscription Purchase:
    1. Individual Subscribers: If you purchase a subscription directly through Haruki, you agree to the pricing, billing frequency, and scope of services as presented at checkout.
    2. Organizational Subscribers: If your agency or organization procures a subscription, you agree to the pricing, billing frequency, and scope of services as set forth in the online order form, invoice, or organizational agreement with Haruki.
    3. Final Agreement on Pricing: The pricing and subscription details confirmed at checkout (for individuals) or in the executed organizational contract, order form, or invoice (for organizations) shall be deemed the binding agreement on fees, scope, and billing terms.
  • Auto-Renewal: Subscriptions renew automatically at the end of the applicable billing cycle (monthly or annual) unless canceled in accordance with these Terms.
  • Payment Methods: You must maintain a valid payment method for continued access. Payments are securely processed by third-party providers.
  • Refund Policy: Fees are non-refundable except as required by law.
  • Late Payments: If payment is declined or overdue, Haruki may suspend or terminate your access until payment is made.
  • Price Changes: Haruki may update subscription pricing. Any change will be communicated in advance, and continued use after such notice constitutes acceptance.

8. Intellectual Property

All rights, title, and interest in the Platform (including software, designs, training modules, and trademarks) remain the property of Haruki. Your subscription license does not grant ownership or rights beyond those expressly stated.

9. User Conduct

You agree not to:

  • Engage in harassment, discrimination, or unlawful conduct.
  • Disrupt or impair the performance of the Platform.
  • Upload, share, or store offensive or unlawful content.

10. Termination of Service

Haruki may suspend or terminate your access if you breach these Terms or fail to pay fees. Upon termination, your subscription license ends immediately.

User Termination: You may terminate your subscription at any time by providing written notice or canceling through your account portal. Upon termination, your access will end at the conclusion of the current billing cycle, unless otherwise agreed.

11. Limitation of Liability

The Platform is provided “as-is” and “as-available.” Haruki disclaims all warranties, express or implied. Haruki is not liable for indirect, incidental, or consequential damages, including service interruptions, data loss, or security breaches.

Service Availability & Force Majeure: Haruki does not guarantee uninterrupted or error-free service. Haruki is not responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, or third-party service interruptions.

12. Indemnification

You agree to indemnify and hold harmless Haruki, its affiliates, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Platform or breach of these Terms.

13. Governing Law

These Terms are governed by the laws of South Carolina, USA. Disputes will be resolved exclusively in the courts of South Carolina.

Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association. Users waive the right to participate in class action lawsuits.

14. Medical Disclaimer

Haruki provides training and educational tools only. It is not a medical or clinical service and should not be used as a substitute for professional diagnosis, treatment, or therapy. Always seek the advice of a qualified healthcare provider with any questions about medical conditions or mental health concerns.

15. Miscellaneous

  • Severability: If any provision of these Terms is held invalid, the remaining provisions shall remain in effect.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Haruki.
  • Waiver: Failure by Haruki to enforce any provision shall not constitute a waiver of its rights.

16. Modifications to Terms

Haruki may update these Terms from time to time. Material changes will be communicated and continued use of the Platform after changes constitutes acceptance.
